These Terms of Service govern your access to and use of SilkNexa, an independent unified AI API platform. By creating an account or using the service, you agree to these Terms.
This translation is provided for convenience. If there is any inconsistency between this translation and the English version, the English version controls.
1. Acceptance of Terms
You must read and agree to these Terms and all policies referenced here before using SilkNexa. If you use the service for an organization, you represent that you have authority to bind that organization.
2. Description of Service
SilkNexa provides a common API interface through which users may access supported third-party artificial intelligence models. Features may include account management, API keys, usage records, routing, credits and billing.
3. Account Registration
You must provide accurate, current information and keep it updated. You may not create accounts through deception, impersonation or automated abuse. You are responsible for activity performed through your account.
4. API Keys and Account Security
Keep credentials, sessions and API keys confidential. Do not publish or share them with unauthorized persons. Notify [email protected] promptly if you suspect compromise. You are responsible for usage made with your active credentials until they are revoked.
5. Credits and Usage
Purchased credits or account balance may be used for eligible API usage and are not bank deposits, stored-value accounts or legal tender. Usage measurements maintained by SilkNexa are used to calculate consumption, subject to correction for verified errors.
6. Pricing and Billing
SilkNexa uses prepaid credits with usage-based billing. Rates may vary by model, request type, input, output and other usage dimensions. Applicable prices are presented before use where applicable.
7. Third-Party AI Models
SilkNexa is an independent service that provides access to supported third-party AI models and infrastructure. Model availability, capabilities, pricing, and provider availability may change over time. Model names and trademarks belong to their respective owners; references do not imply partnership, sponsorship or endorsement.
8. Model Availability
Model availability, output quality, rate limits, latency and behavior may depend on third-party providers. Models, identifiers, context limits, features and rates may change, become unavailable or be discontinued.
9. Acceptable Use
You must comply with our Acceptable Use Policy, applicable law and the usage policies of relevant third-party model providers. You may not use SilkNexa to facilitate illegal, harmful or abusive conduct.
10. User Responsibilities
You are responsible for your prompts, data, applications, outputs and decisions based on model responses. You must obtain necessary rights and consents, evaluate outputs for your use case and apply appropriate human review and safeguards.
11. Suspension and Termination
We may restrict or suspend access when reasonably necessary to address nonpayment, security threats, misuse, legal requirements, provider restrictions or violations of these Terms. You may stop using the service at any time. Provisions that by nature should survive termination will remain effective.
12. Intellectual Property
SilkNexa and its site, software, branding and documentation are protected by applicable intellectual property laws. These Terms grant only the limited right to use the service. Rights in third-party models and materials remain with their respective owners. You retain rights you lawfully hold in content you submit.
13. Service Availability
We aim to operate a reliable service but do not guarantee uninterrupted or error-free availability. Maintenance, provider incidents, network failures, security events and events outside our reasonable control may affect access.
14. Disclaimers
To the extent permitted by law, the service and model outputs are provided “as is” and “as available.” AI-generated outputs may be inaccurate, incomplete, or unsuitable for a particular purpose. Users are responsible for evaluating outputs before relying on them.
15. Limitation of Liability
To the extent permitted by applicable law, SilkNexa will not be liable for indirect, incidental, special, consequential or punitive damages, loss of profits, data, goodwill or business opportunity arising from the service. Any liability that cannot legally be excluded remains limited only to the extent permitted by law.
16. Changes to the Service
We may add, modify or discontinue service features, models and integrations. When practical, material changes affecting paid usage will be communicated through the site, dashboard or account contact details.
17. Changes to Terms
We may update these Terms to reflect changes in the service, law or business operations. The updated date will be shown above. Continued use after an update takes effect constitutes acceptance where permitted by law.
18. Governing Law and Disputes
These Terms and any dispute or claim arising out of or in connection with them or the service are governed by the laws of the People's Republic of China, without regard to conflict-of-law rules. Before starting formal proceedings, you and SilkNexa agree to attempt to resolve the dispute through good-faith negotiation by contacting [email protected]. If the dispute is not resolved within 30 days, you agree to submit to the non-exclusive jurisdiction of the courts of the People's Republic of China. Nothing in this section excludes or limits any mandatory consumer-protection rights available to you under the laws of your country of residence.
